BETA LICENSE AGREEMENT

Snowflake ITM, Inc. (“Snowflake”) has developed a software product based upon Snowflake’s proprietary technology called “SNOWFLAKE” (the “Software”).  Snowflake and the Accepting party (“Licensee”) desire to enter into this Agreement for the purpose of the Licensee’s testing and evaluation of a beta version of the Software.  The parties agree as follows:

1.  Software License.  Snowflake hereby grants to Licensee a royalty-free, nonexclusive, nontransferable license and right to use a beta version of the Software for beta test purposes only.  The Software is accessed via the Internet through a server controlled by Snowflake. 

2.  Licensee’s Obligations.  Licensee shall use and evaluate the Software and provide Snowflake with periodic reports related to the performance of the Software and any ideas for improvement.  Any such reports, ideas or other intellectual property provided by Licensee to Snowflake shall be the sole property of Snowflake.  Licensee hereby consents to Snowflake’s use of Licensee’s name as a beta test customer. 

3.  Snowflake Obligations.  Snowflake shall provide support to assist Licensee in using and evaluating the Software. 

4.  Acknowledgement of Rights. Licensee acknowledges and agrees, during the beta test period and thereafter, that:

  1. it shall not make any enhancements, modifications, improvements, copies, or derivative works of or to the Software (collectively, "Enhancements") without the prior approval of Snowflake, and it shall not decompile, reverse engineer, disassemble, reverse translate, or in any way derive any source code from the Software;
  2. all right, title and interest in and to the Software and any Enhancements thereto shall be owned and controlled by Snowflake, and Licensee hereby transfers and assigns any rights it may have therein to Snowflake; and
  3. Snowflake reserves and retains all rights in and to the Software and any Enhancements thereto not expressly granted pursuant to this Agreement.

 

5.  NO WARRANTY.  ALL SOFTWARE OR OTHER SERVICES PROVIDED BY SNOWFLAKE UNDER THIS AGREEMENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.  SNOWFLAKE EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

6.  NO LIABILITY. THE SOFTWARE HAS NOT COMPLETED BETA TESTING.  LICENSEE SHALL NOT USE THE SOFTWARE TO REPLACE ANY EXISTING SOFTWARE SYSTEM.  LICENSEE ASSUMES ALL RISKS ASSOCIATED WITH ITS USE OF THE SOFTWARE.  IN NO EVENT SHALL SNOWFLAKE BE LIABLE TO THE LICENSEE IN TORT, CONTRACT, OR UNDER ANY OTHER LEGAL THEORY FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR INDIRECT DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT REGARDLESS OF WHETHER SNOWFLAKE HAS BEEN WARNED OF THE POSSIBILITY OF SUCH LOSS.

7.  Confidential Information.  Licensee acknowledges and agrees that the Software and any other information relating to Snowflake’s business, products, or methods of operation, including without limitation any mechanism for access to the Software given by Snowflake to Licensee, which are not generally known to the public, are confidential and proprietary and trade secrets owned by Snowflake (the "Confidential Information").  Licensee shall not disclose such Confidential Information without the prior written consent of Snowflake.  Licensee will use the Confidential Information only for purposes necessary to directly further the purposes of this Agreement.  LICENSEE’S USE OF THE SOFTWARE SHALL INCLUDE CREATING USER PAGES ONLY FOR LICENSEE EMPLOYEES.

8.  Term and Termination. This Agreement shall enter into full force and effect on the date it is accepted by the Licensee submitting this form with the “I [and the entity referenced above] Accept the Terms and Conditions of the Snowflake Beta License Agreement” check box below checked and shall remain in effect for 90 days from the effective date. NOTWITHSTANDING ANYTHING IN THIS AGREEMENT WHICH MAY BE CONSTRUED TO THE CONTRARY, EITHER PARTY MAY AT ANY TIME TERMINATE THIS AGREEMENT, WITHOUT CAUSE AND IN ITS SOLE DISCRETION, UPON PROVIDING THE OTHER PARTY NOTICE BY EMAIL OR OTHERWISE IN WRITING. IN ADDITION SNOWFLAKE MAY TERMINATE THIS AGREEMENT BY PREVENTING LICENSEES ACCESS TO THE SOFTWARE.  The obligations of the parties hereunder shall survive any termination of this Agreement.

9.  Miscellaneous. If any part of this Agreement shall be held invalid or unenforceable, this Agreement shall be construed as if it did not contain such portion, and the rights and obligations of the parties shall be construed and enforced accordingly.  This Agreement is the complete and exclusive agreement and understanding between the parties concerning the subject matter hereof, and supersedes all previous or contemporaneous understandings, negotiations and proposals, whether oral or written. No waiver, modification, amendment, consent or discharge in connection with this Agreement shall be binding upon either party unless in writing and signed by authorized representatives of both parties. Each party to this Agreement represents that it is duly authorized to execute, deliver and perform the terms hereof.  Failure or delay on the part of any party to exercise any right, remedy, power or privilege hereunder will not operate as a waiver. This Agreement shall be governed by and interpreted under the laws of the State of Washington without reference to that body of law known as conflicts of law.

  • Snowflake Name is usually the name of your company, department or group.
  • We recommend that a Page Name is your or the User’s first name.
  • It is best to keep these names short, so you can remember and easily type them in when you log-in to Snowflake.
Each User’s Snowflake Address (Snowflake Name/Page Name) is unique within the entire Snowflake Universe.
